Interpretation and definitions

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of these Terms and Conditions:

  • Affiliate means an entity that controls, is controlled by or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.
  • Account means a unique account created for You to access our Service or parts of our Service.
  • Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Attlas Tech&Co LTDA, Visconde de Parnaiba, 1156 - Mooca, São Paulo - SP, 03044-000
  • Country refers to: Brazil.
  • Content refers to content such as text, images, or other information that can be posted, uploaded, linked to or otherwise made available by You, regardless of the form of that content.
  • Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.
  • Service refers to the Website.
  • Subscriptions refer to the services or access to the Service offered on a subscription basis by the Company to You.
  • Terms and Conditions (also referred as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
  • Third-party Social Media Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.
  • Website refers to Attlas Chat, accessible at https://attlas.so
  • You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

Acknowledgment

These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service.

Subscriptions and payments

Subscription period

The Service is available under different plans, including a free "Freemium" tier and paid Subscriptions. For paid Subscriptions, You will be billed in advance on a recurring and periodic basis (such as daily, weekly, monthly or annually), depending on the type of Subscription plan you select when purchasing the Subscription.

Freemium model

The Company offers a basic version of the Service free of charge ("Freemium"). This version has limited features and usage caps. The Company reserves the right to modify the features available in the Freemium tier at any time without prior notice.

Billing

You shall provide the Company with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information. We use Stripe as our payment processor. By submitting such payment information, You automatically authorize the Company to charge all Subscription fees incurred through Your Account to any such payment instruments.

Refund policy (7-day money-back guarantee)

In compliance with Brazilian Consumer Protection laws and our internal policies, We offer a 7-day money-back guarantee. If You are not satisfied with the Service, You may request a full refund within seven (7) calendar days of Your initial purchase. To request a refund, please contact us at support@attlas.so. After the 7-day period has passed, payments are non-refundable.

Fee changes

The Company, in its sole discretion and at any time, may modify the Subscription fees. Any Subscription fee change will become effective at the end of the then-current Subscription period.

Intellectual property and user content

Company intellectual property

The Service and its original content (excluding Content provided by You or other users), features and functionality are and will remain the exclusive property of the Company and its licensors. The Service is protected by copyright, trademark, and other laws of both the Country and foreign countries.

User content and AI generations

You retain all rights and ownership of the data You upload to the Service ("Input") and the content generated by the AI in response to Your Input ("Output").

  • Ownership: You own your Inputs and outputs.
  • License to Us: You grant Us a worldwide, non-exclusive license to host, copy, and use Your Content solely to provide the Service to You.
  • No Training: We do not use your content to train our AI models or third-party models.

Public chats and showcase

When you create a chat and mark it as "public", you grant us an additional, non-exclusive, worldwide, royalty-free license to:

  • Display, reproduce, and promote your public chat on our website, including but not limited to the showcase section
  • Use screenshots or excerpts of your public chat for marketing and promotional purposes

You acknowledge that public chats are visible to anyone with the link and may be featured on our platform. If you do not wish your chat to be potentially showcased, please keep it set to private.

AI disclaimer

The Service utilizes Artificial Intelligence (AI) to generate responses. You acknowledge that:

  1. AI may generate incorrect, offensive, or biased information ("Hallucinations").
  2. You should not rely on the service for professional medical, legal, or financial advice.
  3. You are responsible for verifying the accuracy of the output before using or publishing it.

Username policy and brand protection

Reserved and protected usernames

To maintain the integrity of the Service and protect the rights of legitimate trademark holders, the Company reserves the right to reclaim, reassign, or withhold any username that corresponds to a well-known brand, trademark, or public figure.

Definition of protected names

A username may be considered protected if it corresponds to:

  • A registered trademark in any country, as recognized by an official intellectual property registry (including but not limited to INPI, USPTO, EUIPO, or equivalent national bodies);
  • A globally recognized brand or organization, including but not limited to companies listed in widely recognized indices such as the Fortune 500, Forbes Global 2000, or similar;
  • A public figure, including but not limited to politicians, athletes, entertainers, or business leaders with significant public recognition.

Username squatting

You agree not to register a username for the purpose of reselling it, holding it for ransom, impersonating a brand or individual, or preventing a legitimate party from using their own name or trademark. This practice, commonly referred to as "username squatting," is strictly prohibited and may result in the immediate termination of Your Account.

Reclaim process

If a trademark holder or public figure believes a username infringes upon their rights, they may submit a formal written request to yann@attlas.so, including:

  1. The username in question;
  2. Proof of trademark registration or public identity (e.g., trademark certificate, official website, verified social media profile);
  3. A brief explanation of the claim.

The Company will review the request and, at its sole discretion, determine whether the username should be reassigned. The Company is not obligated to act on every request and will evaluate each case individually.

Effect on the current username holder

If a username is reclaimed following a successful claim, the affected user will be notified by email and given the opportunity to choose a new available username at no cost. The user will not be entitled to any financial compensation as a result of this reassignment. The Company will make reasonable efforts to minimize disruption to the affected user's experience on the Service.

No guaranteed permanence

Registering a username on the Service does not constitute a property right or a guarantee of permanent ownership. The Company reserves the right to reclaim any username that violates these Terms or that is the subject of a legitimate brand or identity claim, at any time and without prior notice to the holder.

User responsibilities and prohibited uses

You agree not to use the Service:

  • In any way that violates any applicable national or international law or regulation.
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.
  • To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter," "spam," or any other similar solicitation.

Specific AI restrictions

You strictly agree NOT to use the service to generate content that:

  • Promotes violence, hate speech, discrimination, or harassment.
  • Is sexually explicit or pornographic.
  • Promotes illegal acts or self-harm.
  • Attempts to reverse engineer the AI models provided by OpenAI or Mistral.
  • Creates political disinformation or deepfakes.

We reserve the right to terminate Your Account immediately if You violate these restrictions.

Limitation of liability

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

Because the Service involves probabilistic AI generation, the Company makes no warranties regarding the accuracy, completeness, or reliability of any content generated by the Service.

Governing law

The laws of the Country, excluding its conflicts of law rules, shall govern this Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws. Specifically, this Agreement is governed by the laws of Brazil and the State of Paraná.

Disputes resolution

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company at support@attlas.so.

Severability and waiver

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not effect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Changes to these terms and conditions

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the website and the Service.
